Never mind that the three remaining Directors would have provided a quorum to conduct both of those meetings on the regularly scheduled date.
By the rescheduling of these meetings, these two Directors avoid having their names recorded as being absent from a REGULAR meeting. This could be somewhat embarrassing, particularly for Director Faro(now President of the Board) whose absence at the last REGULAR meeting precipitated a situation in which a quorum was not available for all action items. A similar situation occurred at the April 1, meeting when Director Kane's absence led to lack of a quorum for a Samaritan House grant.
I take full credit for denying a quorum in those situations above where district policy would have allowed approval of those items with only 2 yes votes. That's LESS than a majority for our 5 member board. I informed the board that such a policy was unsustainable. I was rewarded with censure by the board.Web Link
I have tried to get our board to change director compensation from an outrageous subsidy of health insurance premiums to a stipend(~$100) for meeting attendance, which is what Peninsula Healthcare District does. Instead, the board raised the subsidy from $14,400/year to $16,200/year. That's $2,700/meeting!
At our August 6, 2014 meeting, Director Faro was telecommuting from his Oregon Ranch, sitting on his porch watching deer in the field while having a glass of wine. (meeting audio available on request) Mr. Faro rejected my proposed amendment to a motion he had made, which would have eliminated the $14,400/year health insurance benefit which directors receive, and replace it with a stipend for meeting attendance as is done by Peninsula Healthcare District. Faro rejected that amendment commenting "I don't care what Peninsula does." Web Link
